Terms of Service
Version 2.0 · Last updated November 3, 2026
These Terms of Service govern your use of the hosted databases, management interfaces, APIs, and related services provided by ParadeDB, Inc. (“ParadeDB,” “we,” “us”), together referred to as the “Services.” The individual or organization accepting these Terms is “Customer” or “you.” Section 15 covers our public website, documentation, blog, and learning materials (the “Website”).
1. Your agreement with ParadeDB
These Terms, your applicable order, and the Data Processing Addendum (“DPA”) together form the “Agreement.” Your “Order” is the service purchase you agree to through our online ordering process or a signed order form. It records the Services, configuration, region where relevant, rates, metering units, billing period, payment method, cancellation and renewal rules, and any trial conditions.
By accepting these Terms, creating an account, or provisioning or using the Services, you agree to this Agreement. The Agreement starts when you first take any of those actions or when both parties sign an Order incorporating these Terms, whichever occurs first. You do not need a separate signature from ParadeDB to accept these Terms.
If you accept for an organization, you confirm that you have authority to bind it, and that organization is Customer. Otherwise, you are Customer. Each party confirms that it has the legal capacity and authority to enter into and perform the Agreement and will comply with applicable laws in doing so.
A separately signed agreement expressly governing the same Services takes precedence to the extent it provides. Otherwise, the following rules apply:
- Applicable Standard Contractual Clauses and the UK Addendum take precedence as provided in the DPA.
- The DPA controls other conflicts concerning personal data processed on your behalf.
- An Order that expressly identifies a negotiated change controls these Terms.
Purchase orders and vendor-portal terms have no effect unless we expressly accept them in a binding written agreement.
2. Accounts and running your applications
Subject to the Agreement and your Order's usage limits, you may access the Services and use associated client software and documentation for your business, including developing and operating applications for your end users. You may allow employees and contractors to use the Services on your behalf, and you remain responsible for their compliance. You may copy associated client software and documentation as needed for that use. Reselling standalone access to the Services requires a separate written agreement.
You are responsible for your accounts, authorized users, credentials, and activity through those accounts. Protect access credentials and promptly notify us of suspected compromise or fraudulent activity. You manage your data, SQL permissions, application security, network allow lists, and integrations. We manage the hosted infrastructure and our security measures. You must assess whether your selected service and backup configuration meet your workload, recovery, and legal requirements. These responsibilities do not reduce our express security or data-protection obligations.
You must comply with the documentation, your Order's limits, and applicable laws. You must not bypass or manipulate metering, billing mechanisms, or usage limits to avoid fees or use Services beyond what you are authorized to use. You must not:
- Access systems or data without authorization, bypass access restrictions, or interfere with service operation or security.
- Conduct security or vulnerability testing without authorization.
- Introduce malicious code or submit data you lack the right to provide.
- Reverse engineer the Services, remove proprietary notices, copy or modify the Services beyond the rights granted here, or use them to develop a competing service, except where applicable law or an applicable open-source license permits it.
- Use the Services for activities where failure could reasonably cause death, bodily injury, or environmental damage, including life-support, nuclear operations, autonomous vehicle control, or air traffic control.
These Terms do not reduce your rights under the applicable open-source licenses for PostgreSQL, ParadeDB, or other components. If these Terms conflict with a component's open-source license, that license controls with respect to that component. Separately licensed enterprise software is governed by its own license. This Agreement grants no enterprise self-hosting license. Third-party products and integrations remain subject to their own terms.
3. Support, trials, and preview features
Support is available through support@paradedb.com, our community Slack, and any other channels agreed with you. Eligible customers may also receive direct support through Slack Connect. Response-time guarantees, an SLA, or professional services apply only if expressly agreed in your Order. For enterprise pricing and negotiated terms, contact Sales.
A trial's end date and paid-conversion terms must be stated in the accepted Order.
Features designated alpha, beta, preview, early access, or evaluation are experimental. We may change or withdraw them with or without notice. Free Services and these features are provided as is. We do not offer a warranty about how they function, a remedy under such a warranty, or ParadeDB indemnification. No SLA applies unless expressly agreed in writing. Confidentiality, security, the DPA, and the no-training commitment still apply.
4. Your content and our intellectual property
“Customer Content” means data, information, and materials you or your users submit to the Services, including database contents and support materials, but excluding voluntary product feedback. You retain ownership of Customer Content. You are responsible for its accuracy, legality, and the rights and legal bases needed for us to process it under your instructions.
You authorize us to host, copy, transmit, retrieve, and otherwise process Customer Content only to provide, secure, maintain, and support the contracted Services, carry out your documented instructions, or comply with applicable law. This includes backups and restoration as instructed. We will not sell Customer Content or use it for advertising.
We will not use Customer Content to develop, train, or enhance artificial intelligence or machine learning models, including third-party models. This also covers Customer Content in support materials and operational records. Your use of the Services for your own AI applications grants us no training rights.
We retain ownership of our Services, software, documentation, and other intellectual property, subject to applicable open-source licenses. Third-party software and other components remain the property of their respective owners.
You may provide feedback voluntarily, and we may use it without restriction or obligation.
We may mention that you use ParadeDB and include your name, logo, and trademarks in our customer lists and marketing, including our Website, blog, advertisements, and press releases. We will use them according to your publicly available brand and trademark guidelines. You keep all rights in those marks and any goodwill created by our use. You may opt out of this customer publicity permission at any time by notifying us in writing at legal@paradedb.com. After receiving your notice, we will stop new uses of your name, logo, and trademarks for customer publicity and remove them from marketing materials we control within 30 days. We are not required to recall previously distributed materials or remove copies outside our control. Beyond this permission, neither party may use the other's name or marks without written approval.
5. Privacy and service information
The DPA is incorporated into the Agreement on acceptance and applies whenever we process personal data on your behalf, including during trials and previews. Our security measures apply as described in the DPA.
Our Privacy Policy describes how we process account, contact, billing, and Website information for our own business purposes. It does not expand our rights to use Customer Content or personal data governed by the DPA.
We may collect information about service provision, usage, and performance to operate, secure, support, and improve the Services and measure billable usage. This information does not include database contents or support attachments merely because we can access them. We may disclose service statistics only in aggregate form that identifies neither Customer nor any individual and reveals no Customer Content. Personal information remains subject to the DPA or our Privacy Policy, according to our processing role.
You must not submit payment information subject to PCI DSS or special categories of personal data under GDPR. HIPAA-regulated health information requires an executed business associate agreement and an expressly approved service configuration. These Terms provide neither, and signup alone authorizes no sensitive-data category.
6. Database regions, exports, and deletion
We host each active customer database and its service-managed backups in the region selected for that cluster. We will not move them to another region without your documented instruction or a legal requirement. Account, authentication, support, security, and operational data may be processed elsewhere. The DPA and approved subprocessor details describe applicable locations and transfer safeguards.
While a cluster is available, you may export data using supported PostgreSQL tools. Complete exports before deleting a cluster. We do not promise recovery or continued database access after deletion. Any assisted export after termination must be specified in your Order or agreed with support before access ends.
At your request after termination, we will return or delete Customer Content in our possession or control, excluding backup copies, within 30 days of the request and delete backup copies within 60 days of the request, except where law requires retention. If you instruct us to delete an active cluster, both periods run from that instruction. We may delete sooner. These deadlines do not promise a recovery window, continued service access, or retention for a future return request. A return request does not restore a deleted cluster.
The same deletion obligations apply to Customer Content in support and operational records. Independently processed account, billing, and security information follows the Privacy Policy's retention practices for administration, legitimate business needs, and legal requirements. This Agreement does not set a fixed retention period for those records.
Retained Customer Content remains protected by confidentiality, security, and the DPA, and may be used only for permitted retention, security, legal compliance, and deletion. If we restore a retained backup, we will reapply deletion instructions before returning the restored data to ordinary use. Backup retention is different from your configured recovery window. Cluster deletion does not mean every copy is erased immediately. No other permission to use Customer Content survives termination.
7. Billing, renewal, and cancellation
Unless your Order says otherwise, Services are usage-based, billed monthly in arrears in U.S. dollars, and payable through authorized credit-card or ACH charges. You authorize us to charge the payment method in your Order, and we will make billing records available to you. Your accepted Order identifies the applicable rates, metering units, and resources. Rates negotiated for a committed term stay fixed during that term unless the Order expressly allows changes. Other rates may change on reasonable advance notice identifying the new rates and when they apply, subject to your Order. Changes to these Terms under Section 13 do not override a rate commitment in an existing Order.
Fees are nonrefundable and noncancelable except for express refund rights in the Agreement or mandatory law. You pay applicable duties, taxes, and levies itemized on your bill, excluding taxes on our income, and chargeback costs. Overdue amounts accrue interest at 1.5% per month or the legal maximum, whichever is lower.
Notify us of a good-faith billing dispute before payment is due or within 30 days of an automatic charge, and pay undisputed amounts on time. We will work together to resolve a dispute within 15 days. Either party may then pursue available remedies. For ordinary nonpayment, we may suspend only when an undisputed amount remains unpaid more than 30 days after its due date and we have given at least 10 days' written notice of the intended suspension. Suspension does not cancel amounts owed. During suspension, charges continue for resources that remain provisioned, including compute, storage, and backups, and any subscription or minimum commitments remain payable under your Order. Suspension of access does not itself delete resources or cancel a subscription. Any express refund or credit rights under your Order, the Agreement, or mandatory law still apply. Separate fraud and security measures below and in Section 8 are not subject to this nonpayment grace period.
To prevent fraud and unauthorized charges, we may reasonably validate or preauthorize payment methods, request billing or identity verification, impose spend or usage limits, and delay provisioning expensive resources while verification is pending. If we reasonably suspect fraud or unauthorized payment, we may restrict provisioning or access while we investigate. A failed payment alone is subject to the ordinary nonpayment process above unless we also have a reasonable basis to suspect fraud or unauthorized payment. We will provide notice when practical, limit restrictions to what is reasonably necessary, and remove them promptly when the concern is resolved. You agree to reasonably cooperate with verification and remediation.
Your Order sets the subscription start date and initial period. If it does not specify a period, the subscription is monthly. At the end of each period, your subscription renews automatically for another period of the same length unless either party gives notice that it will not renew or the Agreement is terminated. Unless your Order provides otherwise, monthly subscriptions require notice before the next renewal. Longer subscriptions require at least 30 days' notice before the current period ends.
For self-service usage-based subscriptions without a minimum commitment, you may cancel at any time by deleting all billable resources and requesting account closure through support. Cancellation stops future usage and renewal. If access is suspended or you cannot delete resources yourself, you may request resource deletion and cancellation at support@paradedb.com. We will process the request without requiring restoration of your access. Resource charges stop when the billable resources are deleted. A cancellation request does not itself delete resources. Accrued charges and any express minimum commitment remain payable. Signing out or stopping queries does not stop charges for provisioned resources.
8. Suspending or ending service
We may temporarily suspend affected access if:
- You breach the permitted-use rules.
- We reasonably identify an attack, security threat, or material risk to the Services, Customer Content, or others.
- We reasonably suspect fraudulent or illegal activity.
- Continued provision is prohibited by law.
- An essential infrastructure provider suspends or withdraws services needed to operate the affected Services.
Nonpayment suspension follows the grace period and notice requirements in Section 7.
We will use reasonable efforts to limit the scope and duration of suspension, provide advance notice when practical and legally permitted (or prompt notice afterward), and give reasonable updates about restoration. We will use commercially reasonable efforts to restore access promptly once the cause is resolved and continued provision is lawful. Suspension does not remove our confidentiality, security, or data-protection obligations.
The Agreement continues through the subscription periods and renewals described in Section 7 unless terminated under this section. You may end self-service use as described in Section 7. Either party may terminate for a material breach not cured within 30 days after notice, an incurable material breach, dissolution or cessation of business without a successor, an assignment for creditors' benefit, or insolvency, receivership, or bankruptcy proceedings continuing for more than 90 days. We may terminate immediately when continued provision would violate law. We may close an account on 30 days' notice after 180 days with neither account access nor fees.
Either party may terminate an affected Order if an event outside reasonable control prevents material service operation for at least 30 consecutive days. In that case, we will refund prepaid fees for the unused remainder of its subscription period.
When the Agreement ends, access rights end and the final accrued bill is payable on receipt. Data return and deletion follow Section 6 and the DPA. Provisions that by their nature need to continue do so, including accrued payment duties, ownership, no-training restrictions, confidentiality, retained-data protections, warranty disclaimers, liability limits, indemnification, and dispute provisions.
9. Keeping information confidential
Confidential information includes nonpublic information disclosed in connection with the Agreement that is marked confidential or reasonably understood to be confidential from its nature and circumstances. This includes Customer Content, nonpublic service information, and the existence and commercial terms of the Agreement, including information disclosed before its effective date. The customer identification and use of names, logos, and trademarks permitted by Section 4 are exceptions to these confidentiality duties, subject to your right to opt out in writing and the removal process described in that section. That permission does not authorize disclosure of pricing, Customer Content, or other confidential information.
Each party will use the other's confidential information only to perform the Agreement or exercise its rights and will protect it with reasonable care and at least the care it uses for its own similar information. Disclosure is limited to users, employees, advisers, contractors, and representatives who need to know, are bound by equally protective confidentiality duties, and whose compliance remains the receiving party's responsibility.
These duties do not cover information already known without a confidentiality duty, independently developed, lawfully received without restriction from an authorized source, or made public without the recipient's fault. A party may disclose information as legally required, giving reasonable advance notice unless prohibited and reasonably cooperating, at the disclosing party's expense, in seeking confidential treatment.
On termination, each party will return or destroy the other's confidential information. Ordinary backup and record-retention copies or legally required copies may be retained, but the confidentiality and security duties continue to apply. Customer Content remains subject to Section 6 and the DPA's deletion requirements.
These duties continue for three years after the Agreement expires or terminates. Trade secrets remain protected for as long as they are trade secrets under applicable law. Customer Content and other confidential copies that a party retains remain subject to the applicable confidentiality, security, and DPA duties throughout their retention, even beyond those three years.
10. Service warranties
You warrant that you and your users have and will maintain the rights and consents needed to submit Customer Content and permit its processing under the Agreement.
TO THE EXTENT PERMITTED BY LAW, THE SERVICES, SOFTWARE, DOCUMENTATION, AND SUPPORT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” We disclaim express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, and noninfringement. We do not promise uninterrupted, secure, error-free operation or that the Services will meet every requirement. We provide no separate warranty about how the Services function or remedy under such a warranty.
These disclaimers do not waive our express security, confidentiality, or DPA obligations or remedies that cannot legally be excluded. We are not responsible for warranties concerning third-party products or unauthorized modifications.
11. Third-party claims
Subject to Section 12, we will defend, indemnify, and hold Customer harmless from third-party claims alleging that the Services infringe a patent or copyright enforceable in the United States, including resulting damages, awards, settlements, and reasonable legal costs. This does not cover claims arising from:
- Open-source or other third-party software.
- Free Services or preview features.
- Unauthorized modifications or modifications made to your instructions.
- Unauthorized use.
- Combinations with items we did not provide.
- An old version where a newer release would avoid the claim.
- Continued use after an infringement stop-use notice.
We may obtain continued-use rights, modify or replace affected Services without materially reducing their general functionality, or, if neither option is reasonable, terminate the affected Order and refund prepaid fees for its unused subscription period.
You will defend, indemnify, and hold ParadeDB harmless from third-party claims arising from Customer Content, including infringement of intellectual property rights, or your breach of Section 2's permitted-use restrictions, including resulting damages, awards, settlements, and reasonable legal costs. This does not cover claims resulting from our unauthorized use of Customer Content.
The party seeking indemnification must promptly notify the other party, provide reasonable assistance at that party's expense, and let it control the defense and settlement. The protected party may participate with its own counsel at its own expense. A settlement admitting fault or otherwise materially and adversely affecting the protected party requires its prior written consent. These indemnities apply to claims by third parties, excluding claims brought by the protected party, its affiliates, or, for our indemnity, your users. This section and the related termination rights provide the exclusive remedies for covered claims.
12. Limits on liability
TO THE EXTENT PERMITTED BY LAW, PARADEDB AND ITS AFFILIATES ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR RELIANCE DAMAGES, OR LOST REVENUE, PROFITS, SAVINGS, OR GOODWILL ARISING FROM THE AGREEMENT.
Our aggregate liability under the Agreement and all DPAs together is limited to direct damages up to the fees you actually paid in the six months before the claim arose. For free Services and preview features, the aggregate limit is US$5,000 instead. No separate or higher limit applies to confidentiality, security, data protection, or indemnification claims. These limitations apply regardless of the legal theory and even if we were advised of possible damages. They do not limit your payment or indemnification obligations.
Neither party excludes or limits liability for fraud, fraudulent misrepresentation, or anything applicable law prohibits limiting. Mandatory data-protection rights and rights under applicable Standard Contractual Clauses remain unaffected.
13. Updates and contact details
For self-service subscriptions, we will send at least 30 days' notice before updating these Terms. We may email your account address or use another method reasonably designed to reach you. The notice will identify the new version and effective date. We will also update the revision date on this page.
If you keep accessing or using the Services after that date, you accept the new Terms for your next renewal period. They may apply sooner if you enter a new Order that expressly accepts them. Without your express acceptance, an update will not apply to a renewal less than 30 days after notice.
You can reject an update by cancelling or notifying us before it applies that you will not renew. This right applies even when the usual nonrenewal deadline in Section 7 has passed. A timely rejection prevents the renewal affected by the update. Your existing Terms continue through the current period, and its charges and commitments remain payable.
This update process does not amend an existing Order, a separately signed agreement, or the DPA, each of which remains subject to its own amendment requirements. For subscriptions governed by a signed Order, changes to these Terms require both parties' written or electronic acceptance unless that Order expressly permits this self-service update process. Other changes to the Agreement require both parties' written or electronic acceptance. Posting an updated page alone does not amend an existing Agreement.

14. Legal framework
California law governs the Agreement, excluding conflict-of-laws rules. Disputes must be brought in the state or federal courts in San Francisco, California, to whose exclusive jurisdiction each party consents. Either party may seek injunctive or other equitable relief in any competent court for threatened or actual misuse of confidential information or infringement of intellectual property, without posting a bond to the extent permitted by law. Unless a remedy is expressly exclusive, exercising it does not limit other available remedies.
Neither party may assign the Agreement without the other's written consent, except on notice in connection with a merger, change of control, reorganization, or sale of substantially all relevant equity, business, or assets. Unauthorized assignments are void. The Agreement binds permitted successors and assigns. An affiliate ordering separately enters its own agreement, with separate responsibilities.
Neither party is liable for delay or failure caused by unforeseen events outside its reasonable control despite reasonable prevention or mitigation measures. This does not excuse payment obligations.
Each party must comply with applicable anti-bribery laws. You must comply with export controls and sanctions and must not be located or organized in an embargoed jurisdiction, be a prohibited or sanctioned party, or be at least 50% owned by one. We may terminate immediately without notice or liability to comply with export controls or sanctions.
The Services, software, and documentation are commercial items for U.S. government procurement, and government use is limited to the rights granted here, subject to applicable procurement law.
The parties are independent contractors. Neither can bind the other. There are no third-party beneficiaries.
The Agreement is the entire agreement about its subject. If a provision is unenforceable, the remainder continues. Failure to enforce a provision is not a waiver.
The UN Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.
Headings are for reference only. The word “including” introduces nonexclusive examples. Signatures may be electronic and in counterparts.
15. Using the ParadeDB website
You may use the Website for lawful personal or business purposes, subject to applicable copyright, trademark, and open-source notices. Access transfers no ownership or right to use ParadeDB marks beyond law or written permission. Do not compromise the Website or gain unauthorized access. Third-party resources have their own terms. Links are not endorsements, and we are not responsible for their content or availability.
To the fullest extent permitted by law, the Website is provided as is and as available, without express or implied warranties, including merchantability, fitness for a particular purpose, title, and noninfringement. We do not promise accuracy, completeness, currency, security, or uninterrupted or error-free availability. Evaluate and test examples for your own use. Educational content creates no service warranty, support commitment, or SLA.
To the fullest extent permitted by law, ParadeDB and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, or goodwill arising from Website use, regardless of legal theory or notice of possible damages. Aggregate Website liability is limited to US$5,000. These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or liability that law prohibits limiting, and do not waive statutory privacy or consumer rights.
California law and the San Francisco state and federal courts govern Website disputes, subject to mandatory laws preserving another jurisdiction's protections or access to another court. Section 13 provides legal notice and contact details. Our Privacy Policy explains Website information practices. These Website provisions do not override an accepted service agreement or the DPA. Those agreements continue to govern service and data-processing claims.
